User Agreement

This User Agreement is a legally binding agreement between users (hereinafter referred to as "You", "Users") and Think Academy International Education Limited (a company registered in England and Wales under the company registration number 12489904, hereafter, "We", "Our", "Us", "Company" and "Think Academy" refer exclusively to Think Academy International Education Limited, and its subsidiaries and affiliates). It describes the rights and obligations between Think Academy and the Users regarding the use of Think Academy UK’s website (www.thinkacademy.uk, including its subsites and webpages) and its related products and services (including but not limited to softwares, mobile applications and other digital platforms owned by Think Academy; together, the "Website").

This User Agreement must be read in conjunction with our Terms and Conditions and Privacy Notice. Except where it is expressly stated in this User Agreement, this User Agreement does not stipulate relevant terms of service of the Company. For those services please refer to our Terms and Conditions.

Please read carefully and ensure that you have fully understood the terms and conditions set out herein. Access or use of our Website by any user is conditional on such user’s acceptance of this User Agreement. Unless you have accepted this User Agreement, you are not authorised to use the Website and its related products and services.

1. Scope of Use

After opening the Website, the User can use the basic functions of the Website.

The User should select version of the web browser that matches the Website’s computer system/web browser requirement, etc. Otherwise the Website and its contents and services may not be available.

The User shall not reverse engineer, decompile or disassemble the Website, and shall not modify any resource compiled inside the program file. In addition to laws and regulations expressly permitting the activities above, the User must comply with the limitations of this User Agreement.
2. Account Registration

For full utilisation of our Website (including gaining access to the Student Portal facilities), products and services, you will need to register and create a Think Academy account. You will need to provide certain personal and other information, including your email address and mobile number before using the account. The information you provided at the time of registration help us in offering our Website content, products, customer service, and network management. You are solely responsible for the maintaining the confidentiality of your account. You further understand that you are completely responsible for all activities associated with your account.
2.2 
You warrant that your account related information will be accurate, current, and complete at all times. If we believe that such information is untrue, inaccurate, not current, incomplete, or misleading, then we reserve the right to suspend or terminate your account and restrict any and all current or future use of our products and services, without any liability to you.

You must notify us immediately of any unauthorized use of your account and any other breach of security. We cannot be held responsible for any loss or damage arising out of your failure or negligence to comply with the requirements stated in this User Agreement, either with or without your knowledge, prior to your notifying us of unauthorized access to your account.

You may not use anyone else's account at any time or transfer your account to someone else without the permission of the account holder. If you have authorized another individual, including a minor, to use your account, you understand under such circumstances, you are completely responsible for the online conduct of such user and the consequences of any misuse.

5. Website’s Functionality
5.1 
In order to allow Users to easily use the Website, corresponding documents are included in the Website. In order to update the Website information in time, the Website provides online upgrade function.
5.2 
The Website is supported by product development technology from Think Academy.
5.3 
The Website’s functionality includes (but not limited to): account registration, sign-in, account setting, news releasing, resource downloading, activity sign-up, course enrolment and making payments.
5.4 
For the payments of our online courses, this will be made through our third-party partner PayPal. You will be redirected to the PayPal website after submitting your order for payment.
5.5 
Users acknowledge and agree that the data generated during the process of using the Website’s related functions might be necessarily processed and stored by cloud service in accordance with our Privacy Notice.
5.6 
Users acknowledge and agree that if they decide to use certain functions, then in order to implement the function, Think Academy may upload some or all data information generated by the User during the use of the Website, save to the third-party cloud service storage, and retrieve relevant data information according to the function command requested by the User. If Think Academy is unable to provide website services due to dysfunction such as third-party cloud service interruption, Think Academy shall be responsible for coordination and try to avoid affecting Users' normal use.
5.7 
Users acknowledge and agree that when they use the Website, the Website may invoke other Think Academy websites, third-party systems or third-party website functions to support Users’ use or access. There may be mutual calling functions, links to third-party resources, and data sharing with your consent between the Website and other Think Academy websites or other third-party websites. At the same time, if the User decides to use certain functions, then in order to implement these functions, the User is required to open a computer-related auxiliary device (such as microphone, camera, etc.) or agree to call the computer local data file. If the User refuses to open the auxiliary device or call the local data, part of the Website function might not be utilised.
5.8 
If a service is provided by a third party, the User shall also abide by the third party's user agreement in addition to complying with the User Agreement. The results of the use or access are provided by the third party (including but not limited to the services and content provided by the third party to which the User is redirected through the website), and Think Academy is unable to guarantee the security, accuracy, validity and other uncertain risks of the services and content provided by the third party. Users should bear those relevant responsibilities themselves.
6. User Obligations
6.1 
Users should use the Website under the premise of complying with the law and this User Agreement. Users are not authorised to take the following actions, including but not limited to:
1) 
Delete or change all copyright information and content in the Website and other copies;
2) 
Deliberately avoid or destroy the technical measures taken by the copyright owner to protect the copyright of the Website;
3) 
Mislead or deceive others by using the Website;
4) 
Violate national regulations by deleting, modifying, increasing, and interfering with the computer information system functions and resulting in the disfunction of the computer information system;
5) 
Enter computer information network or use computer information network resources without permission;
6) 
Delete or change all copyright information and content in the Website and other copies;
7) 
In regards to related information of the Website, without written consent of Think Academy, take the following actions including but not limited to, use, lease, lend, copy, modify, link, reprint, compile, pose, publish, create mirror sites, unauthorized use of the Website to develop derivative products, works, services, packages, plug-ins, compatibility, interconnection, etc.;

Destroy normal operation of the Website system or the Website and intentionally disseminate destructive procedures such as computer viruses;
9) 
Use the Website to transmit or distribute, in other ways, to transmit documents containing images, photographs, website or other materials protected by intellectual property laws, for example (not exclusively listed): copyrights, trademarks, portraiture right, privacy or publicity, etc., unless the User owns or controls the corresponding rights or has obtained the necessary recognition from the intellectual property owner of the website;

Use the Website and other products and services provided by Think Academy in any unlawful manner, for any illegal purpose, or in any manner that is inconsistent with this User Agreement;
6.2 
The User is fully responsible for the content posted, uploaded or transmitted by the User. All Users are not allowed to post, reprint or transmit information that contains one of the following contents during the use of the Website:
1) 
Invasion of privacy;
2) 
Infringement of intellectual property rights;
3) 
Harassment, threats, insults or defamation of others, infringement of the legitimate rights and interests of others;
4) 
Harm to children's safety;
5) 
Content containing violations of the principles of integrity and authenticity, including spam, untrue information and false information;
6) 
Content containing harmful or dangerous matter, including spreading obscenity, pornography, violence, murder, terrorism or abetment, and hatred; and
7) 
Other content prohibited by laws and administrative regulations.

Think Academy has the right to dispose the said contents without notifying the User.

7. Intellectual Property

This Website is independently developed and provided with operational management services by Think Academy. All intellectual property rights, and all information related to the Website (including but not limited to: textual expressions and combinations, icons, graphics, images, diagrams, colours, interface design, layout frameworks, related data, additional programs, printed materials or electronic documents) are all owned by Think Academy, and are protected by copyright law, international copyright treaties and other intellectual property laws and regulations. All other rights not expressly stated in this User Agreement are still owned by Think Academy. Users must obtain written consent from Think Academy when exercising other rights.

8. Disclaimer and Limitation of Liability

In no event shall Think Academy be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for errors, omissions, interruptions, defects, delays, computer viruses, loss of use, data or profits, unauthorized access to and alteration of your transmissions and data, intentional or malicious attempts at intrusion into your confidential and personal information, and other tangible and intangible losses, arising out of or in any way connected with the use or performance of the Website, with the delay or inability to use the Website or related Think Academy products and services, the provision of or failure to provide services, or for any information, software, products, services and materials obtained through the Website, or otherwise arising out of the use of the Website, whether based on contract, tort, negligence, strict liability or otherwise, even if we have been advised of the possibility of damages.
8.2 
Think Academy is unable to guarantee whether the Website is infected with computer viruses, whether there are hidden Trojan Horse programs or hacking website. Using such website may cause unpredictable risks. Users are advised not to download, install or use them easily. Think Academy is hold harmless from all legal liabilities and disputes arising from such activity.
8.3 
The Website does not contain any malicious code designed to disrupt computer data and obtain privacy information of the User. This Website has been tested but we cannot guarantee that it will be fully compatible with all web browsers and hardware systems. There is no guarantee that the Website will be completely error-free. In the event of incompatibility and website errors, Users can email us on infouk@tal.com to report the situation for technical support.

We may alter any information, products or services on our Website or suspend or terminate operation of our Website, without prior notice. We are not liable for any damages caused by any such alterations, suspensions or termination, regardless of the reason thereof.

Think Academy is not responsible for any liabilities or damages caused by telecommunication systems or Internet network failures, computer malfunctions or viruses, information corruption or loss, computer system problems or any other force majeure.

Whilst Think Academy endeavour to ensure that the content of this Website is accurate at the time included, we accept no obligation and liability to ensure it is accurate, complete or up-to-date, nor do we guarantee that this Website or its content will remain accessible and our products and services (including our online tutoring programs) will be available at any given time.

Certain parts of this Website link to external websites and other external websites may link to this Website. We do not endorse, nor are we responsible for, the content of websites operated by others that link to this Website or are accessible from it.
9. Governing Law

This User Agreement shall be governed by and interpreted in accordance with English law and all disputes shall be determined exclusively by the English courts.

10. Miscellaneous

If any provision of this User Agreement is wholly or partially invalid or unenforceable for any reason, or is in violation of any applicable law, the provision is deemed to be deleted, but the remainder of this User Agreement will continue to be valid and binding.
10.2 
We reserve the right to change this User Agreement from time to time. We will notify you of any changes by posting the new User Agreement on this page. If we make any changes to this User Agreement that significantly affect your contractual rights and obligations, we will let you know via email and/or a prominent notice on the Website or through the delivering of our products and services to you prior to the change becoming effective. You are advised to review this User Agreement periodically for any changes.
